Terms of Service

1. Service Overview

IronixPay ("the Platform") provides merchants with an enterprise-grade, blockchain-based stablecoin (USDT/USDC) payment gateway supporting TRON, Solana, BSC, Ethereum, Polygon, Arbitrum, Optimism, and Base networks.

By using the Platform, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, please do not use our services.

The Platform is a technology service provider, not a bank, money transmitter, or licensed financial institution. We do not hold, control, or guarantee any crypto assets on behalf of merchants or their customers beyond the automated processing described herein.

2. Geographic Restrictions

The Platform does not provide services to residents or entities in the following jurisdictions:

  • People's Republic of China (Mainland China)
  • United States of America

Users located in the above regions may not register an account or use the Platform's services. The Platform may employ technical measures such as IP geolocation to detect user locations and restrict or notify users accessing from restricted regions.

If you misrepresent your location during registration or use, or employ technical means (such as VPNs) to circumvent geographic restrictions, the Platform reserves the right to immediately terminate your account without liability.

Geographic restrictions listed in these Terms are subject to change as laws and regulations evolve. Please review this section periodically.

3. Account & Registration

  • You must be at least 18 years old to register an account.
  • You are responsible for providing accurate registration information and maintaining account security.
  • Account credentials (API keys, passwords, etc.) are your responsibility. Losses caused by credential leaks are borne by you.
  • We reserve the right to suspend or terminate accounts that violate these Terms or engage in suspicious activity.

4. Payment Services & Asset Flow

4.1 Service Description

The Platform provides merchants with stablecoin (USDT/USDC) collection, automated sweeping, and withdrawal services.

4.2 Asset Flow Disclosure

When a customer sends stablecoin (USDT or USDC) to a merchant's payment address:

  1. Collection: Funds arrive at a blockchain address derived and managed by the Platform on behalf of the merchant.
  2. Sweeping: The Platform automatically transfers received funds from the collection address to the Platform's treasury address. This is a routine operational process required for settlement.
  3. Settlement: After deducting applicable fees, the net amount is credited to the merchant's balance within the Platform.
  4. Withdrawal: Merchants may withdraw their available balance to an external blockchain address at any time, subject to applicable fees and security verification.

Merchants acknowledge that funds do not remain at the original collection address after sweeping and that balances displayed in the Platform are accounting entries backed by the Platform's treasury reserves.

4.3 Transaction Finality

  • Payment amounts are determined by the actual stablecoin amount confirmed on-chain.
  • Transactions are irreversible once confirmed on the blockchain.
  • Service fees are charged at published rates. Rate changes will be communicated at least 14 days in advance.
  • The Platform does not handle fiat currencies. All transactions involve on-chain crypto assets only.

5. Merchant Responsibilities

  • Merchants are responsible for ensuring their business complies with applicable laws and regulations in their jurisdiction.
  • Merchants must not use the Platform for money laundering, terrorism financing, or other illegal activities.
  • Merchants are responsible for handling refunds and disputes with their customers.
  • Merchants must securely store sensitive information such as Webhook signing secrets and API keys.

6. Prohibited Activities

The following activities are strictly prohibited on the Platform:

  • Money laundering, terrorism financing, or sanctions evasion
  • Transactions involving sanctioned jurisdictions, entities, or individuals
  • Gambling, lotteries, or games of chance (unless legally licensed)
  • Sale of illegal goods or services, including darknet marketplace activity
  • Ponzi schemes, pyramid schemes, or fraudulent investment offerings
  • Sale of weapons, drugs, or other controlled substances
  • Child exploitation material or human trafficking
  • Deliberate circumvention of the Platform's risk controls or AML measures

Violation of this section will result in immediate account termination and may be reported to relevant authorities.

7. Risk Control & Compliance

  • The Platform implements Anti-Money Laundering (AML) screening and may refuse to process transactions from high-risk addresses.
  • We reserve the right to suspend or freeze accounts suspected of suspicious activity pending investigation.
  • Merchants must cooperate with necessary compliance investigations.
  • False positives in AML screening may occasionally result in legitimate transactions being delayed or declined. The Platform is not liable for losses arising from good-faith compliance measures.

8. Account Suspension & Termination

8.1 Voluntary Termination

Merchants may close their account at any time by withdrawing their full balance and contacting support. Accounts with zero balance will be deactivated upon request.

8.2 Involuntary Termination

If the Platform terminates a merchant's account due to Terms violations or compliance concerns:

  • The merchant will be notified via their registered email.
  • The merchant will have 30 calendar days from the notification date to withdraw their remaining balance to a verified external address, subject to applicable compliance checks.
  • After the 30-day window, unclaimed balances may be held pending resolution with the merchant or as required by law.
  • Balances associated with confirmed fraudulent or illegal activity may be frozen and reported to authorities.

9. Service Availability

  • We strive to provide reliable and stable services but do not guarantee 100% uptime.
  • The Platform is not liable for service interruptions caused by blockchain network congestion, node failures, or scheduled maintenance.
  • On-chain transaction confirmation times depend on network conditions and cannot be guaranteed.

10. Intellectual Property

  • All software, APIs, documentation, and trademarks of the Platform are proprietary.
  • You may not copy, modify, or distribute proprietary content without permission.
  • Merchants may use the Platform's SDK and APIs within their business operations in accordance with our documentation.

11. Limitation of Liability

To the maximum extent permitted by law:

  • The Platform is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or loss of business opportunity.
  • The Platform's maximum aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the incident giving rise to the claim.
  • The Platform is not liable for:
    • Losses caused by blockchain network failures, forks, or congestion
    • Losses caused by stablecoin smart contract bugs, freezes, or depegging events
    • Losses resulting from AML screening delays or false positives applied in good faith
    • Losses due to merchant's failure to secure API keys, passwords, or Webhook secrets
    • Losses arising from force majeure events (including but not limited to natural disasters, regulatory actions, or cyberattacks beyond our reasonable control)

12. Indemnification

You agree to indemnify, defend, and hold harmless IronixPay, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

  • Your violation of these Terms or applicable laws
  • Your use of the Platform for prohibited activities
  • Disputes between you and your customers
  • Any third-party claims related to your business activities conducted through the Platform

13. Changes to Terms

  • We reserve the right to modify these Terms at any time.
  • Material changes will be communicated via email or platform notification at least 14 days in advance.
  • Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Platform's operating entity is incorporated.
  • Parties shall first attempt to resolve disputes through good-faith negotiation within 30 days.
  • Unresolved disputes shall be submitted to binding arbitration administered by a competent arbitration body in the jurisdiction of the Platform's operating entity.
  • Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.
